Please read these Terms of Use carefully before accessing or using the SalePro Livestock platform. By creating an account or using any part of our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.
SalePro Livestock ("SalePro," "we," "us," or "our") is a technology platform that provides online auction software services to livestock sellers, auctioneers, and buyers. SalePro is a software platform only. SalePro is not an auctioneer, livestock dealer, market agency, or broker. SalePro does not take title to any animals listed or sold through the platform. SalePro does not act as an agent for any buyer or seller.
The platform enables sellers and auctioneers to conduct live and online timed livestock auctions and enables registered buyers to participate in those auctions. All transactions are between the buyer and seller directly. SalePro facilitates the technology infrastructure only.
You must be at least 18 years of age to use this platform. By registering, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into binding agreements, and are using the platform in compliance with all applicable laws in your jurisdiction.
You must register for an account to participate in auctions. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at info@salepro.live of any unauthorized access to your account.
New accounts are subject to approval before bidding privileges are granted. SalePro reserves the right to deny, suspend, or terminate any account at its sole discretion.
You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
If you optionally provide a mobile phone number, you consent to receive text message (SMS) notifications related to auction activity, including outbid alerts and sale status updates. Standard message rates may apply. You may opt out at any time by removing your phone number from your account settings or by replying STOP to any message.
Sellers and auctioneers using the SalePro platform are solely responsible for:
SalePro makes no representations about the accuracy of any lot descriptions provided by sellers. Buyers rely on seller-provided descriptions at their own risk.
All bids placed on SalePro Livestock are legally binding offers to purchase. By placing a bid — whether manually or through the automated max bid feature — you agree to complete the purchase at that price if you are the winning bidder at the close of the auction.
Winning bidders are responsible for payment within the timeframe specified by the seller or auctioneer. Failure to complete payment may result in account suspension, removal of bidding privileges, and may be subject to further legal action by the seller.
The automated max bid feature places bids on your behalf up to your specified maximum. By setting a max bid, you authorize SalePro to place bids in your name up to that amount. All such automated bids carry the same legal weight as manually placed bids. In the event of a tie between two equal maximum bids, priority is given to the bidder who committed their maximum bid first, based on the recorded timestamp.
Bid increments are set by SalePro and may change. Current increments are displayed on each lot listing.
Registered sellers may participate as bidders on any sale listed on the platform, including sales on which they have consigned animals. SalePro does not restrict seller participation as buyers.
Online timed auctions may include a "Last Call" feature at the auctioneer's discretion. When Last Call is activated, countdown timers are removed and the auction closes after a period of bidding inactivity. The exact closing time is not displayed during Last Call. By participating in auctions, you acknowledge and accept this closing mechanism.
Payment processing on SalePro is handled by third-party payment processors. SalePro does not hold, transmit, or take custody of buyer funds or seller proceeds. All payment transactions occur directly between buyers, sellers, and the payment processor in accordance with the payment processor's terms of service.
SalePro charges sellers and auctioneers platform fees for use of the software. These fees are separate from and in addition to any buyer's premium or seller's commission charged by the auctioneer.
SalePro is not a party to any transaction between buyers and sellers. Any disputes regarding the condition, description, or delivery of animals must be resolved directly between the buyer and seller.
SalePro may, at its sole discretion, assist in facilitating dispute resolution but has no obligation to do so and assumes no liability for the outcome of any buyer-seller dispute.
Disputes regarding the accuracy of lot descriptions should be raised with the seller within 24 hours of the auction closing.

Violations may result in immediate account termination and may be reported to appropriate authorities.
SalePro strives to maintain platform availability but does not guarantee uninterrupted access. We are not liable for any losses resulting from platform downtime, technical errors, or interruptions to service during an auction. We recommend all participants have a backup communication method with the auctioneer in the event of technical difficulties.
All content, design, software, and technology comprising the SalePro platform is the property of SalePro Livestock and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any portion of the platform without express written permission.
By uploading photos, videos, or descriptions to the platform, you grant SalePro a non-exclusive license to display that content in connection with the relevant sale listing.
THE SALEPRO PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SALEPRO DOES NOT WARRANT THE ACCURACY OF ANY LOT DESCRIPTIONS, THE QUALITY OR CONDITION OF ANY ANIMALS SOLD, OR THE SOLVENCY OF ANY BUYER OR SELLER.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALEPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM FAILED BIDS, PLATFORM DOWNTIME, DISPUTES BETWEEN BUYERS AND SELLERS, OR THE CONDITION OF ANIMALS SOLD THROUGH THE PLATFORM.
SALEPRO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM SHALL NOT EXCEED THE PLATFORM FEES PAID BY YOU TO SALEPRO IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless SalePro Livestock, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation.
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Minnesota.
SalePro reserves the right to modify these Terms at any time. We will notify registered users of material changes by email or through the platform. Continued use of the platform following notification constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
SalePro may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SalePro Livestock regarding your use of the platform and supersede all prior agreements and understandings.
